These Terms apply to all visitors and registered users of the AXIAL website and B2B electronic commerce platform. By registering as a partner or using our platform, you confirm that you are acting on behalf of a business and that you have authority to bind that business to these Terms.
2. Services
AXIAL provides a B2B marketplace connecting suppliers, distributors, and buyers across the European Union. Our services include catalogue aggregation, order management, and logistics coordination. The exact scope of services may vary by partner type and agreement.
3. Registration and account
You must provide accurate company and contact information when applying as a partner. We reserve the right to verify your details and to refuse or suspend access at our discretion. You are responsible for keeping your login credentials secure and for all activity under your account.
4. Orders and fulfilment
Orders placed through the AXIAL platform are subject to availability and the specific terms agreed between buyer and supplier. Delivery times, payment terms, and return conditions are set per order or per partner agreement. AXIAL facilitates the transaction but is not the seller of products unless otherwise stated.
5. Fees and payment
Fees for platform use, commissions, or other charges will be communicated in your partner agreement or on the platform. You are responsible for paying all applicable fees and taxes. We may change fee structures with reasonable notice.
6. Intellectual property
All content, branding, and technology on the AXIAL platform remain our property or our licensors’. You may not copy, modify, or use our trademarks or content without prior written consent.
7. Limitation of liability
To the extent permitted by law, AXIAL shall not be liable for indirect, incidental, or consequential damages arising from your use of the platform or from transactions between partners. Our total liability is limited to the amount of fees paid by you in the twelve months preceding the claim.
8. Changes and termination
We may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance. We may suspend or terminate your access in case of breach or for business reasons, with notice where required.
